Proposed new Constitution

Somerville is required to adopt, at a General Meeting, a new Constitution that is compliant with the new Incorporated Societies Act 2022.  The Management Committee (through the Constitution Working Group) has been working on this for a couple of years, and we now have a draft to share with you and on which we invite your feedback.

Attached is the proposed new Constitution for the Club.  We have also attached the old constitution for reference.

The timeline

The draft constitution will be available on the website until 30 September 2025 for questions and feedback, at which time feedback will close. After 30 September the Committee will consider the information it has received and whether the constitution needs to be changed in any way. 

Changes (if any) will be made and the proposed new Constitution will be republished for information, and put to Members for approval at a Special General Meeting (SGM) which will be scheduled immediately adjacent to the Annual General Meeting (normally held at the start of December each year). 

Notices of this SGM, supporting material and resolutions required, will be circulated in advance.  The Committee will then complete the steps required for us to re-register as an Incorporated Society.

Questions asked and feedback provided

Will be consolidated into a comprehensive summary document, which will be refreshed and republicised on the website, as material is received, for the information of all members.
